The Construction Hub Website and Partnership Directory

  1. Introduction

Welcome to The Construction Hub.

These Terms & Conditions (“Terms”) govern your use of the website operated by Sonitus Home Limited trading as Sonitus (“we”, “us”, “our”) and your participation in, or use of, services provided through The Construction Hub, including the Partnership Directory.

By accessing or using this website, you agree to be bound by these Terms. If you do not agree with these Terms, you should not use this website.

These Terms apply to:

  • visitors who browse or use the website;
  • professionals and businesses who participate in The Construction Hub community;
  • businesses listed within the Partnership Directory (“Partners”);
  • members of the public who use the Partnership Directory to find businesses or services.

The Construction Hub exists to support collaboration, networking and trusted professional relationships within the luxury residential construction sector. The website and Partnership Directory are intended to provide information and introductions only and do not create any contractual relationship between Sonitus Home Limited and businesses or individuals who use the directory.

References in these Terms to “The Construction Hub”, “we”, “us” or “our” mean Sonitus Home Limited trading as Sonitus.

 

  1. Definitions

For the purposes of these Terms:

“Website” means the website operated by The Construction Hub and any associated online services.

“Visitor” means any person accessing or using the Website.

“Partner” means a business or organisation that has been accepted for inclusion within the Partnership Directory.

“Partnership Directory” means the section of the Website containing profiles and contact information for Partners.

“Partner Profile” means the information displayed about a Partner within the Partnership Directory.

“Content” means all text, images, photographs, logos, graphics, documents, videos and other materials displayed on or submitted to the Website.

“Services” means the networking, community, event and directory services provided by The Construction Hub.

 

  1. Acceptance of These Terms

By accessing or using the Website, you confirm that:

  • you have read and understood these Terms;
  • you agree to comply with them;
  • you will use the Website lawfully and responsibly.

If you are using the Website on behalf of a business or organisation, you confirm that you have authority to accept these Terms on its behalf.

We reserve the right to update these Terms from time to time. Any changes will take effect when they are published on this Website.

Your continued use of the Website following any changes means that you accept the revised Terms.

 

  1. Use of the Website

You may use the Website for lawful purposes only.

You must not:

  • use the Website in any way that breaches applicable laws or regulations;
  • attempt to gain unauthorised access to the Website or its systems;
  • introduce viruses, malware or other harmful material;
  • interfere with the operation or security of the Website;
  • copy, reproduce or redistribute Website content for commercial purposes without our prior written permission;
  • use information from the Partnership Directory to create another directory, database or competing service without our permission.

We reserve the right to restrict or remove access to the Website where we reasonably believe that these Terms have been breached.

 

  1. Website Information

We aim to ensure that information published on the Website is accurate, current and useful. However, we do not guarantee that all information will always be complete, accurate or up to date.

The Website contains information provided by third parties, including Partners. While we encourage Partners to provide accurate information, we do not independently verify every statement, qualification, product, service or claim made by a Partner.

Information on the Website is provided for general information purposes only and should not be relied upon as professional advice.

 

  1. Partnership Directory

7.1 Purpose of the Partnership Directory

The Partnership Directory exists to introduce visitors to businesses and professionals who actively participate in The Construction Hub community.

The purpose of the Partnership Directory is to support collaboration, visibility and connection between professionals involved in the luxury residential construction sector and individuals seeking specialist products, services or expertise.

Businesses included within the Partnership Directory are generally businesses that regularly attend The Construction Hub meetings and have chosen to become Partners.

7.2 Nature of the Partnership Directory

The Partnership Directory is a promotional and networking platform only.

Inclusion within the Partnership Directory does not mean that Sonitus Home Limited:

  • employs or represents the Partner;
  • acts as an agent, broker or intermediary for the Partner;
  • recommends or guarantees the Partner’s services;
  • certifies, accredits or approves the Partner;
  • supervises, manages or controls the Partner’s work;
  • has responsibility for any agreement entered into between a visitor and a Partner.

Although we seek to work with businesses that we know and trust through their involvement with The Construction Hub community, inclusion within the Partnership Directory should not be interpreted as a guarantee, endorsement, certification or warranty of the quality, suitability, reliability or availability of any products or services provided by a Partner.

7.3 No Guarantee of Work or Enquiries

Inclusion within the Partnership Directory and participation in The Construction Hub does not guarantee that a Partner will receive any enquiries, referrals, introductions, leads, projects or other business opportunities.

The Partnership fee covers the benefits described in these Terms, including Partnership Directory inclusion and the Partner’s allocation of event places. It is not a payment for, or guarantee of, any level of work or business generated through The Construction Hub.

7.4 Relationship Between Visitors and Partners

If you contact, engage or appoint a Partner, you acknowledge that:

  • any discussions, quotations, agreements or contracts are solely between you and the relevant Partner;
  • Sonitus Home Limited is not a party to any agreement between you and a Partner;
  • you are responsible for making your own enquiries and carrying out any checks you consider appropriate before entering into any agreement.

You should satisfy yourself regarding matters including, but not limited to:

  • suitability for your project;
  • qualifications and experience;
  • insurance;
  • pricing;
  • timescales;
  • warranties;
  • references;
  • contractual arrangements.

7.5 No Responsibility for Partner Services

Sonitus Home Limited does not supervise, inspect, approve, manage or guarantee any work, products or services provided by Partners.

We accept no responsibility or liability for:

  • the quality, standard or suitability of any workmanship;
  • defects, faults or failures in products or services supplied;
  • delays, missed deadlines or incomplete works;
  • disputes between customers and Partners;
  • financial losses arising from engaging a Partner;
  • advice, designs, recommendations or information provided by Partners;
  • any act, omission, negligence or breach of contract by a Partner.

Any concerns regarding a Partner’s products or services should be addressed directly with that Partner.

7.6 Partner Profiles

Partner Profiles are created using information supplied by the relevant Partner.

Partners are responsible for ensuring that information they provide is:

  • accurate;
  • complete;
  • lawful;
  • not misleading;
  • compliant with any applicable regulations or professional requirements.

Sonitus Home Limited may edit Partner Profile content for purposes including:

  • formatting;
  • consistency;
  • spelling and grammar;
  • website presentation;
  • accessibility;
  • search engine optimisation.

We will not knowingly alter information in a way that materially misrepresents a Partner or its services.

7.7 Partnership Fee and Event Attendance

The current Partnership fee is £150 plus VAT for a 12-month Partnership period.

The Partnership fee includes:

  • inclusion within the Partnership Directory for 12 months; and
  • 12 event places, allowing one person from the Partner business to attend each of The Construction Hub’s regular monthly events during the Partnership period.

The 12 event places are allocated to the Partner and may be used by different representatives of the Partner business where appropriate.

A Partner may bring a guest to an event where guest attendance is permitted by The Construction Hub. Each guest place will be deducted from the Partner’s allocation of 12 event places. Once all 12 event places have been used, any further attendance, including attendance by the Partner or a guest, will be subject to the applicable event ticket price and booking fees.

The Partnership fee is payable in advance, is non-refundable and does not automatically renew. Partnership periods and unused event places cannot be carried forward or exchanged for cash or other benefits.

7.8 Partner Content and Photographs

Partners may provide Content for use within their Partner Profile, including:

  • business descriptions;
  • logos;
  • photographs;
  • project images;
  • links;
  • contact information;
  • other promotional materials.

By submitting Content to The Construction Hub, the Partner confirms that:

  • they own the Content or have obtained all necessary permissions and licences to use it;
  • use of the Content by The Construction Hub will not infringe the rights of any third party;
  • they have obtained appropriate permissions from photographers, clients, designers, architects, contractors or any other relevant parties where required.

Partners grant Sonitus Home Limited a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, adapt, format and publish submitted Content for purposes connected with:

  • the Partner Profile;
  • operation and promotion of The Construction Hub;
  • marketing and communications relating to The Construction Hub.

This licence continues for as long as the Content is required for legitimate business purposes, including reasonable retention of historic records, marketing materials and archived versions of the Website.

7.9 Partner Representation

Partners are encouraged to promote their involvement with The Construction Hub and may describe themselves as a “Partner of The Construction Hub” or “Proud Partner of The Construction Hub”.

We may provide Partners with approved The Construction Hub branding, including a logo, for use on their website, email signature and other marketing materials.

Partners must not suggest that they are certified, accredited or guaranteed by The Construction Hub or Sonitus Home Limited, or otherwise use the name or branding of The Construction Hub in a way that could misrepresent the relationship.

The Construction Hub branding must not be altered, misused or used in any way that could damage or misrepresent the reputation of The Construction Hub or Sonitus Home Limited.

Any use of The Construction Hub branding must be in accordance with any guidelines we provide and must stop when the Partnership ends, unless we agree otherwise.

7.10 Removal or Suspension of Partner Listings

We reserve the right to refuse, suspend or remove any Partner Profile where we reasonably believe that this is necessary to protect the reputation, integrity or interests of The Construction Hub, its Partners or the wider community.

Reasons may include:

  • inaccurate or misleading information;
  • inappropriate conduct;
  • behaviour inconsistent with the values of The Construction Hub;
  • complaints relating to professionalism or reputation;
  • failure to comply with these Terms;
  • misuse of The Construction Hub branding or Content;
  • non-payment of fees.

Where reasonably practical, we will communicate with the Partner before removing a listing. However, we reserve the right to act immediately where necessary.

Removal of a Partner Profile does not create an entitlement to a refund of any Partnership fee already paid.

  1. Events

8.1 Event Bookings

The Construction Hub hosts networking meetings, events and other activities from time to time.

Bookings for events may be managed through third-party booking platforms, including Eventbrite.

Where event bookings are processed through a third-party platform, the booking process and any payment arrangements may also be subject to the terms and conditions and privacy policies of that platform.

By booking or attending an event, you agree to comply with:

  • these Terms;
  • any event-specific terms communicated at the time of booking;
  • any reasonable instructions provided by The Construction Hub or event organisers.

 

8.2 Event Fees and Cancellation

The Construction Hub hosts regular monthly networking meetings as well as occasional additional events, workshops, collaborations and other activities.

The current attendance fee for the regular monthly networking meetings is £10 plus VAT, together with any applicable Eventbrite booking fees.

Fees for other events may vary depending on the nature, format and costs associated with the event. The applicable fee will always be displayed during the booking process before payment is completed.

Event bookings are subject to the cancellation and refund terms communicated at the time of booking. Unless otherwise stated, event fees are non-refundable once a booking has been confirmed.

Where bookings are processed through a third-party platform such as Eventbrite, any additional terms, conditions or policies of that platform may also apply.

 

8.3 Event Conduct

The Construction Hub exists to encourage positive professional relationships, collaboration and respectful communication.

We reserve the right to refuse admission or ask individuals to leave an event where behaviour is considered inappropriate, disruptive, offensive or inconsistent with the values of The Construction Hub.

 

  1. Intellectual Property and Copyright

9.1 Ownership of Website Content

All intellectual property rights in the Website and its Content, including but not limited to:

  • text;
  • graphics;
  • logos;
  • branding;
  • photographs;
  • illustrations;
  • designs;
  • layouts;
  • videos;
  • original materials created by The Construction Hub;

are owned by or licensed to Sonitus Home Limited unless otherwise stated.

These rights are protected by applicable intellectual property laws, including the Copyright, Designs and Patents Act 1988.

 

9.2 Permitted Use

You may:

  • view pages from the Website;
  • download or print reasonable extracts for personal or internal business reference purposes;
  • share links to publicly available pages.

You must not, without prior written permission from Sonitus Home Limited:

  • reproduce Website Content commercially;
  • copy or republish Website material;
  • modify Website Content;
  • create derivative works;
  • use The Construction Hub branding, name or logos;
  • extract or reuse Partnership Directory information for commercial purposes.

 

9.3 Partnership Directory Data

The Partnership Directory represents significant work undertaken by Sonitus Home Limited in developing and maintaining a professional network.

Visitors and businesses must not:

  • copy Partner Profiles;
  • extract contact information in bulk;
  • create alternative directories;
  • use Directory information for unsolicited marketing;
  • reproduce the Directory structure or content for commercial purposes.

This does not prevent individuals from contacting Partners for legitimate business enquiries.

 

  1. Use of Partner and Third-Party Content

The Construction Hub may display Content provided by Partners and other third parties.

The views, opinions and information contained within Partner Content belong to the relevant Partner and do not necessarily represent the views of Sonitus Home Limited.

Where Content has been supplied by a Partner, that Partner remains responsible for ensuring they have all necessary rights, permissions and approvals relating to that Content.

 

  1. Artificial Intelligence and Automated Use of Website Content

The Content published on this Website has been created for the benefit of The Construction Hub community, its Partners and visitors.

You must not use automated systems, scraping tools or artificial intelligence systems to systematically extract, reproduce, analyse, republish or commercially exploit Website Content, including Partnership Directory information, except where such use is permitted by applicable law or where we have provided written permission.

Nothing in this clause prevents legitimate uses of publicly available information permitted under applicable law.

 

  1. Links to Third-Party Websites

The Website may contain links to third-party websites, including Partner websites, LinkedIn profiles and other external resources.

These links are provided for convenience only.

Sonitus Home Limited:

  • does not control third-party websites;
  • does not endorse or approve their content;
  • is not responsible for their availability, accuracy, security or privacy practices.

You access third-party websites at your own risk and should review their own terms and policies before using them.

 

  1. Limitation of Liability

13.1 General Limitation

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

This includes liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • any other liability which cannot legally be excluded or limited under the laws of England and Wales.

 

13.2 Website and Directory Use

To the fullest extent permitted by law, Sonitus Home Limited shall not be liable for any loss or damage arising from:

  • use of, or reliance upon, information contained on the Website;
  • contact with or engagement of any Partner;
  • products or services provided by Partners;
  • workmanship, defects or failures relating to Partner services;
  • disputes between visitors and Partners;
  • loss of profits, revenue, business opportunities or anticipated savings;
  • indirect or consequential losses.

 

13.3 Networking and Professional Relationships

The Construction Hub provides a platform for networking, collaboration and the development of professional relationships within the luxury residential construction sector.

Our events, community and Partnership Directory are intended to facilitate connections between professionals, businesses and individuals. However, Sonitus Home Limited does not arrange, broker, recommend, negotiate or manage any commercial relationship between visitors and Partners.

Any relationship, discussion, quotation, agreement or contract that arises between a visitor and a Partner or any other member of the Construction Hub community is entered into entirely independently of Sonitus Home Limited.

Sonitus Home Limited does not guarantee:

  • that attendance at an event will result in any business opportunity;
  • that any connection made through The Construction Hub will lead to a commercial relationship;
  • that a Partner or other community member will be suitable for a particular project;
  • that any products or services provided by a Partner or community member will meet a visitor’s expectations.

Any decision to engage with a Partner or other professional introduced through The Construction Hub community is made entirely at the individual’s own discretion and responsibility.

 

  1. Website Availability

We aim to keep the Website available and operating effectively. However, we do not guarantee that the Website will always be available, uninterrupted or error-free.

We may:

  • suspend access;
  • update content;
  • modify features;
  • carry out maintenance;

without notice where reasonably necessary.

 

  1. General Legal Terms

15.1 Assignment

You may not transfer your rights or obligations under these Terms to another person without our written consent.

We may transfer our rights and obligations under these Terms where reasonably necessary, including as part of a business transfer or restructuring.

 

15.2 Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision shall be removed or modified to the minimum extent necessary, and the remaining provisions shall continue to apply.

 

15.3 No Waiver

If we do not immediately enforce a right under these Terms, this does not mean that we have waived that right.

 

15.4 Entire Agreement

These Terms represent the agreement between you and Sonitus Home Limited regarding use of the Website and replace any previous understandings relating to that subject matter.

 

  1. Governing Law and Jurisdiction

These Terms and any dispute or claim arising from them shall be governed by and interpreted in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to resolve any disputes arising in connection with these Terms.
